This Licence Agreement (“Agreement”) is the commercial licence for one named digital product sold at 1ndygo-ai.com/audit/buy. It is not legal advice. It does not replace the Australian Consumer Law. Consultancy, booking, and the rest of this website remain under the Terms of Service. Refunds for this product are in the Refund Policy.
1NDYGO AI SOLUTIONS PTY LTD (“1NDYGO”, “we”, “us”, or “our”) licenses. You (“you” or “Licensee”) are the natural person named at checkout, acting for the organisation named at checkout.
1. Authority
If you buy for an organisation, you warrant that you have authority to bind that organisation to this Agreement. If you do not have that authority, do not complete checkout.
2. The product
The product is the 1NTEGRAGUARD AI Readiness Audit named standalone HTML file (the “Pack”). It is a 60-question instrument that runs offline in a browser, produces a Governance Readiness Index (GRI) score and band, and can export JSON.
The Pack is not a website, not a login, not a SaaS seat, and not a copy of Engine, Academy, or the Partner Programme. This site does not clone those products.
List price is A$990 including GST for a 12-month named licence, unless a valid promotion code applies at checkout.
3. Licence grant
Subject to payment in full and this Agreement, 1NDYGO grants you a limited, non-exclusive, non-transferable, non-sublicensable licence:
- to one named person;
- for one named organisation;
- to download, store, and run the Pack on devices you control;
- for 12 months from the licence issue date (Clock 1 — 365 days);
- to complete assessments for that organisation and to export JSON for that organisation.
This licence does not transfer ownership of the Pack, the scoring model, the GRI, 1NTEGRAGUARD, or any related material.
4. Named, not for resale
The Pack is stamped to the licensed person and organisation. You must not:
- resell, rent, lend, publish, sublicense, or otherwise transfer the Pack;
- share the stamped file outside the named organisation’s need-to-know;
- use it as a multi-seat tool, white-label it, or run it as a service for third parties;
- remove, obscure, or alter licence marks, names, version stamps, or disclaimers.
A change of licensed person or organisation needs a new licence, unless 1NDYGO agrees in writing.
5. Two clocks
- Clock 1 — paid licence. 365 days from issue. After it ends, the named licence is expired. Use of the Pack after expiry is not authorised under this Agreement.
- Clock 2 — download envelope. The download link emailed after payment is valid for 7 days and up to 3 successful downloads. The envelope is how you receive the file. It is not extra licence term. Save the file on your machine.
If the envelope expires and you have not saved a copy, email 1ntegraguard@1ndygo-ai.com. Re-issue during Clock 1 is at 1NDYGO’s discretion where you have not exhausted supply in bad faith. See the Refund Policy if delivery failed.
6. Delivery
After payment, 1NDYGO emails the download link to the work address on the checkout form. You are responsible for a working address, spam filters, and saving the file.
A 7-day trial is not self-serve. 1NDYGO authorises trials separately. This Agreement covers the paid A$990 SKU.
7. What this is not
The Pack, any score, band, report, policy template, or Verification Record Number (VRN) is not:
- ISO/IEC 42001 certification, or any other certification, accreditation, or audit opinion;
- legal, privacy, workplace-health, or compliance advice;
- a guarantee that you meet any law, standard, code, tender, or contract;
- a finding that you are “compliant” or “non-compliant”;
- a public copy of the assessment tool.
The published VRN stub is self-attested. Payment does not publish a VRN. That is deliberate. You complete the work, export the JSON, and email it to 1NDYGO. We may then publish a stub showing organisation, score, band, date, licence and content version. Answers and the tool stay off the public record.
8. Your work, your decisions
You are responsible for the accuracy of answers, evidence, and any use of scores, reports, or templates. Adopting a policy template is not operational effectiveness. Country, region, and sector overlays are informational. They do not change the GRI and they do not apply law to your facts. You remain responsible for your own legal and operational decisions.
9. Intellectual property
Our IP: all intellectual property in the Pack, scoring model, GRI, templates, 1NTEGRAGUARD, and related materials remains 1NDYGO’s.
Your IP: you keep intellectual property in your answers, evidence, and organisation data.
Limited processing: you grant 1NDYGO a limited licence to process that data to issue the Pack, send the download, administer the licence, and — if you submit JSON — to publish a VRN stub. Personal information is handled under the Privacy Policy.
10. Fees
A$990 including GST unless a valid promotion code applies at checkout. A tax invoice is issued through Stripe or on request to 1ntegraguard@1ndygo-ai.com. Consultancy deposits under the Terms of Service are separate and do not govern this SKU.
11. Refunds
Refunds for this SKU are in the Refund Policy. That policy does not exclude the Australian Consumer Law.
12. Consumer guarantees
Nothing in this Agreement excludes, restricts, or modifies any consumer guarantee under the Australian Consumer Law that cannot lawfully be excluded. To the maximum extent permitted by Australian law, the Pack is supplied as a digital instrument on an “as is” basis, and where our liability can be limited it is limited to re-supply of the Pack, the cost of re-supply, or a refund where the law requires one.
13. Liability
To the maximum extent permitted by Australian law:
- we are not liable for indirect, incidental, special, or consequential loss;
- we are not liable for decisions you make from a score, band, report, template, or VRN;
- our total liability for this SKU is limited to the amount you paid for the licence in question.
14. Suspension and end
We may suspend or revoke the licence if you materially breach this Agreement (including resale or sharing beyond the named grant), if payment is reversed or charged back without a genuine claim, or as required by law. On end or expiry you must stop using the Pack, except for records you are required by law to keep.
15. Changes
We may update this Agreement for new purchases. The version linked at checkout when you pay is the version that binds that licence. We will not rewrite a paid licence mid-term except where law requires, or with notice where a change is reasonably necessary for security or lawful operation of delivery.
16. Other terms
The Terms of Service cover consultancy and the site. The Privacy Policy covers personal information. The Refund Policy covers refunds for this SKU. If those documents conflict on the Pack, this Agreement and the Refund Policy prevail for the Pack.
17. Governing law
This Agreement is governed by the laws of Australia. Any disputes will be resolved in the courts of Tasmania, Australia.
