1. Services Provided

1NDYGO AI Solutions provides:

• AI Strategy & Consulting: Strategic planning, AI readiness assessments, and implementation roadmaps
• AI Governance Services: Compliance frameworks, risk management, and the 1NTEGRAGUARD platform
• AI Development: Custom AI solutions, chatbots, voice AI, and automation systems
• Web Design & Branding: Professional websites, branding, and digital presence
• Training & Education: 1NTEGRAGUARD Academy courses and workshops

2. Acceptance of Terms

By engaging our services, booking a consultation, or accessing our platforms, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, you must not use our services.

3. Client Obligations

Clients agree to:

• Provide accurate, complete, and timely information required for service delivery
• Respond promptly to requests for feedback, approvals, or additional information
• Comply with all applicable laws and regulations in their use of our services
• Not use our services for any illegal, unethical, or malicious purposes
• Make timely payments for services as outlined in the agreed project scope or invoice

4. Payment Terms

All services are invoiced according to the agreed project scope or subscription terms. Payment terms include:

• Deposit: A non-refundable deposit may be required before project commencement
• Payment Schedule: Invoices are due within 14 days of issue unless otherwise agreed
• Late Payments: Late payments may incur interest charges and suspension of services
• Subscription Services: Recurring charges apply until cancellation notice is provided

5. Intellectual Property

Our IP: All 1NDYGO AI frameworks, methodologies, 1NTEGRAGUARD platform, templates, and proprietary tools remain our intellectual property.

Client IP: Upon full payment, clients receive ownership of custom deliverables created specifically for their project (websites, custom code, branded materials).

Third-Party IP: Any third-party tools, software, or content used in service delivery remains the property of their respective owners.

6. Confidentiality

We respect client confidentiality and will not disclose sensitive business information without consent, except where required by law. Clients agree to maintain confidentiality of our proprietary methodologies, frameworks, and business processes.

7. Limitation of Liability

To the maximum extent permitted by Australian law:

• Our services are provided "as is" with no warranties beyond those implied by Australian Consumer Law
• We are not liable for indirect, incidental, or consequential damages arising from service use
• Our total liability is limited to the amount paid by the client for the specific service in question
• Clients are responsible for their own decision-making based on our consultancy and recommendations

8. Service Modifications & Termination

We reserve the right to:

• Modify, suspend, or discontinue services with reasonable notice
• Update these Terms of Service at any time; continued use constitutes acceptance
• Terminate services for non-payment, breach of terms, or at our discretion with notice

9. Governing Law

These Terms of Service are governed by the laws of Australia. Any disputes will be resolved in the courts of Tasmania, Australia.
